By downloading, installing, or using Hapi ("the Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

2. License Grant

Free Version

We grant you a limited, non-exclusive, non-transferable, revocable license to use the free version of Hapi for personal or commercial use.

Pro Version

The Pro version requires a paid subscription. Your subscription grants you access to additional features as described on our website. Subscriptions are billed monthly or annually and automatically renew unless cancelled.

3. Acceptable Use

You agree to use Hapi only for lawful purposes. You may not:

• Use the Software to violate any laws or regulations
• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any copyright, trademark, or other proprietary notices
• Use the Software to infringe on others' intellectual property rights
• Attempt to circumvent any licensing or payment mechanisms

4. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account (if applicable)
• All activities that occur under your account
• Ensuring you have necessary rights to transcribe any audio content
• Compliance with all applicable laws regarding recording conversations
• Backing up your data - we are not responsible for data loss

5. Subscription and Payment

Billing

Pro subscriptions are billed in advance on a monthly or annual basis. Prices are subject to change with 30 days notice to existing subscribers.

Cancellation

You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Free Trial

We may offer a free trial period. You will be charged when the trial ends unless you cancel before the trial period expires.

6. Intellectual Property

Hapi and all related materials are protected by copyright and other intellectual property laws. You retain all rights to your audio recordings and transcriptions. We retain all rights to the Software.

7. Privacy and Data

Your use of Hapi is also governed by our Privacy Policy. In summary:

• All transcription happens locally on your device
• We do not have access to your audio or transcriptions
• You are solely responsible for backing up your data

8. Disclaimers and Limitations

AS-IS Basis

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Accuracy

While we strive for high transcription accuracy, we do not guarantee perfect results. Transcription accuracy depends on audio quality, speaker clarity, and other factors beyond our control.

Availability

We do not guarantee uninterrupted or error-free operation. The Software may be temporarily unavailable due to maintenance, updates, or factors beyond our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

10. Updates and Changes

We may update the Software from time to time. Updates may add, modify, or remove features. We will provide notice of significant changes. Continued use of the Software after updates constitutes acceptance of the changes.

11. Termination

We may suspend or terminate your access to the Software at any time for:

• Fraudulent or illegal activity
• Non-payment of fees (for Pro users)

Upon termination, you must cease using the Software and delete all copies.
